1. Acceptance of Terms

By accessing or using Keepsy ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Keepsy provides a platform that allows users to create, store, and schedule the delivery of personal messages (text, voice, and video) to designated recipients. The Service includes a health check verification system that monitors account holder activity and initiates message delivery protocols based on user-defined conditions.

3. Account Registration

  • You must be at least 18 years of age to create an account.
  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Subscription & Payments

  • Free Tier: Includes limited message storage (1 text message, 1 recipient).
  • Paid Tiers: Offer additional message types, storage capacity, and recipient slots as described on our pricing page.
  • Paid subscriptions are billed on a recurring basis. You authorize us to charge your payment method on each billing cycle.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds are provided in accordance with applicable law. We do not offer refunds for partial billing periods.

5. User Content

  • You retain ownership of all content you create and upload to the Service, including text messages, voice recordings, and video messages.
  • You grant us a limited license to store, process, and deliver your content solely for the purpose of providing the Service.
  • You are solely responsible for the content of your messages. You agree not to use the Service to store or transmit content that is illegal, threatening, harassing, defamatory, or otherwise objectionable.
  • We reserve the right to remove content that violates these terms or applicable law.

6. Health Check & Message Release Protocol

  • The Service includes a periodic health check system designed to verify account holder activity.
  • If you fail to respond to health check notifications within the designated timeframe, the Service will attempt to contact your designated trusted contacts for verification.
  • If verification is not completed, the message release protocol will be initiated, and your active messages will be delivered to your designated recipients.
  • You are responsible for keeping your health check contact information and trusted contacts up to date.
  • We make reasonable efforts to ensure accurate verification, but we cannot guarantee against premature or delayed message release due to technical failures, incorrect contact information, or other circumstances beyond our control.

7. Limitations of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law:

  • We do not guarantee that the Service will be uninterrupted, error-free, or secure.
  • We are not liable for any damages arising from the premature, delayed, or failed delivery of messages.
  • We are not liable for any loss of data due to technical failures, security breaches, or account termination.
  • Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • Keepsy is not a legal service and does not constitute a legal will, testament, or estate plan. Messages stored on our platform are not legally binding documents. We strongly recommend consulting a licensed attorney for estate planning.

8. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Store or transmit content that is illegal, threatening, harassing, or harmful.
  • Impersonate any person or entity.
  • Attempt to gain unauthorized access to the Service or its systems.
  • Interfere with or disrupt the integrity of the Service.
  • Use the Service for any commercial purpose not expressly authorized by us.

9. Account Termination

  • You may delete your account at any time through your account settings.
  • We may suspend or terminate your account if you violate these terms or engage in prohibited conduct.
  • Upon account deletion, your stored messages and personal data will be permanently deleted within 30 days, except where retention is required by law.
  • If your account is terminated due to a terms violation, any active messages will not be delivered.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the courts located in the State of California.
